About The Role The Legal team sits at the heart of Revolut and is a very important part of the business, helping us achieve our goals each and every day. We're looking for a Company Secretary to join the Governance function to deliver a best-in-class service to Revolut Bank UK. You'll keep senior stakeholders informed of their legal responsibilities, ensuring executive-level governance is fit for a modern digital bank and facilitates timely and robust decision making. - Providing a full company secretarial service to executive-level committees
- Coordinating approvals for business decisions within existing governance structures and frameworks
- Taking accurate minutes of meetings to accurately record discussions, perform quality assurance of first-drafts, and circulate minutes to relevant attendees
- Maintaining the corporate books and records via the global entity management system
- Incorporating, liquidating, and establishing entities where required, including assistance to obtain or relinquish relevant licences and permits
- Onboarding directors, conducting their inductions, organising training, as well as managing training and succession plans
- Advising on general governance matters, including conflicts of interest and directors’ duties, providing the need for disclosures or written declarations
- Authoring process guides and informational pages to facilitate knowledge transfer amongst team members and stakeholders
- Drafting resolutions, legal paperwork
- Supporting key corporate transactions and delivering governance strategy
- Reviewing governance frameworks, controls, approvals, and policies
- Carrying out board and committee evaluations and governance horizon scanning
What You'll Need
- A bachelor’s degree (or professional qualification in a relevant area)
- 3+ years of experience as a company secretary with governance expertise, preferably with recent experience in financial services
- A solid understanding of corporate governance, company law, and conflict of interest management
- Excellent attention to details
- The ability to lead board and committee arrangements effectively, and draft clear and effective minutes
- Expertise with legal entity compliance activity with minimal support
- Collaborative team skills with the ability to build genuine relationships at senior level
- A focus on client delivery, resilience, and ability to prioritise and manage competing demands
- The ability to communicate clearly, effectively, and proactively with stakeholders while providing succinct governance advice
- Fluency in English
